IQ Talent Solutions are delighted to be working with one of our key asset management clients supporting with the recruitment of a Corporate Governance Manager to join the team in their London

The Role
Leading a team of three and reporting into the CRO, the role is responsible for providing corporate governance support to this client and its subsidiaries, Funds Boards and a range of senior management committees as well as statutory compliance and governance procedures across the organisation. The team will also be responsible for renewal of corporate Insurance policies.

Duties & Responsibilities
Inclusive of but not limited to the following:

Legal entity and committees

* Board and Board committee support of UK entities including preparation of agenda, distribution of packs, drafting of minutes, identifying issues & escalating as appropriate.
* Statutory filings and maintenance of statutory registers of UK entities.
* Organising Board trainings and workshops for Directors.
* Implement regulatory changes on board reporting and governance.
Funds
* Governance support to Boards of overseas entities and Funds Boards.
* Regular liaison with fund directors, Legal, Compliance, Product Development, Corporate Risk, and other business units.
* Organising Board trainings, due diligence days and annual workshops for Directors.

Governance Best practices

* Oversight of governance support for a range of Investment and Risk Committees.
* Ownership and maintenance of Terms of reference.
* Ownership and maintenance of Authorised Signatory Lists.
* Maintaining relationship with external partners
* Continuing to develop governance practices and procedures internally.

Others

* Corporate Insurance Renewal.
* Managerial responsibility of two team members.
* Regulatory and Business projects.
* Assist business with internal enquiries and for RFPs

Skills & Experience

* Ideal candidates will have proven experience in a similar role, preferably within financial services or investment / asset management
* Candidates will preferably be a member of the Institute of Chartered Secretaries and Administrators/The Governance Institute.
* An awareness of regulatory climate would be a distinct advantage
* A forthcoming and driven approach would be highly beneficial, including previous work on continuous improvements and development of change around existing practices would be a real bonus
